Documents filed for $2B health merger

The first filings pertaining to the proposed affiliation of Southcoast Health and Care New England have been filed.
In May, the company boards announced they had voted to move forward with a $2 billion affiliation featuring eight hospitals and more than 15,000 employees.
Southcoast Health includes Charlton Memorial Hospital in Fall River, St. Luke's Hospital in New Bedford and Tobey Hospital in Wareham, as well as Southcoast Behavioral Health in Dartmouth. Care New England was founded in 1996 and is the parent organization of Butler Hospital, Kent Hospital, Memorial Hospital of Rhode Island, Women & Infants Hospital of Rhode Island, the VNA of Care New England, The Providence Center, CNE Wellness Center and Integra, a certified accountable care organization created with the Rhode Island Primary Care Physicians Corporation.
According to Southcoast Health, the first filing - a notice of material change - was submitted to the Massachusetts Health Policy Commission.
“This filing is the beginning of what will be a thorough regulatory review process in both Massachusetts and Rhode Island, and is an important next step toward affiliation,” Keith Hovan, president and CEO of Southcoast Health, said in a statement. “We are excited to have entered the regulatory phase with Care New England and are looking forward to a transparent process that provides opportunity for public hearings and community input.”
Additional Department of Public Health filings - a health facility licensure and determination of need filings - will also be required. Southcoast said three filings will be required in Rhode Island, including two filings under the Hospital Conversions Act.
